Reliable governance
A tightly structured senior management team with a new distribution of operating activities – 4 Divisions and 3 Business Units dedicated to equipment – supported by 3 cross-functional department and 10 functional departments.
This operating structure allows the company to provide solutions closely matching the preoccupations of its current and prospective customers.
DCNS is a public limited company (or société anonyme) governed by the provisions of the French Act of July 26, 1983 related to the democratization of public-sector companies as regards the rules governing the membership and working methods of its Board of Directors.
The Board of Directors ensures that the Group is run properly and determines its strategy objectives. It protects the interests of the company’s principal stakeholders: the shareholders, employees and customers.
Four specialized committees:
- The Audit and Accounts Committee, whose principal mission is to assist the Board of Directors with the analysis of economic and financial information about the Group.
- The Proposals Committee reviews key proposals before they are referred to the Board of Directors.
- The Appointments and Compensation Committee recommends to the Board levels of remuneration and provision for retirement and personal risk insurance schemes for corporate officers and members of the company’s Executive Committee.
- The Strategy Committee assists the Board in its analysis of the 10-year strategic plan and scrutiny of major projects.

Corporate Governance of DCNS.
The Board of Directors is comprised of 18 members:
Mr. Patrick Boissier, DCNS Chairman and CEO,
Messrs Gilles Denoyel and Yves Michot, Messrs. Patrice Durand, Jean-Georges Malcor and Bernard Rétat (as of March 29, 2007), appointed by the General Shareholders’ Meeting.
Messrs Jacques André, Gérard Aubert, Gérard Barbereau, Bernard Hamelin, Gilles Montaland and Michel Rouzé, elected as employees’ representatives
Messrs Joseph Bodard, Christophe Burg, Jean-Yves Leclercq, Messrs Éric Querenet de Bréville, (as of November 8, 2007) Thomas Courbe (until January 16, 2008) and Thierry Kalfon (from March 8 to November 8, 2007) appointed as representatives of the French State.
